Welcome to Zero. By accessing or using our software and services, you agree to be bound by these Terms of Service. Please read them carefully.
1. Acceptance of Terms
By downloading, installing, or using Zero ("Software"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Software. We may update these Terms from time to time, and your continued use constitutes acceptance of any changes.
2. License Grant
Subject to your compliance with these Terms and payment of applicable fees, Zero grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for your internal business purposes during your active subscription period. This license is personal to you and may not be shared, sublicensed, or assigned to any third party.
3. Prohibited Activities
You agree NOT to engage in any of the following prohibited activities:
- Reverse engineering: You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
- Copying or distribution: You may not copy, modify, distribute, sell, or lease any part of the Software or included documentation.
- License circumvention: You may not attempt to bypass, disable, or circumvent any license validation, security measures, or usage tracking within the Software.
- License sharing: You may not share, publish, or transfer your license key or account credentials to any other person or entity.
- Automated access: You may not use bots, scripts, or automated tools to access or interact with the Software or our services.
- Harmful use: You may not use the Software for any unlawful purpose or in any way that could damage, disable, or impair our services.
4. Intellectual Property Rights
The Software, including all code, graphics, user interface, and documentation, is owned by Zero and protected by copyright, trademark, and other intellectual property laws. Your license grants only the right to use the Software as specified herein; all other rights are reserved. Zero, the Zero logo, and related marks are trademarks of Zero.
5. Subscription and Billing
Zero is offered on a subscription basis:
- Subscriptions are billed monthly in advance. Payment is due at the start of each billing period.
- Usage exceeding your plan's included separations will be billed at your plan's overage rate at the end of each billing cycle.
- You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle.
- All fees are non-refundable except as expressly stated in our satisfaction guarantee or as required by applicable law.
6. Refund Policy
Refunds are generally not processed once service has been rendered. However, we may, at our sole discretion, issue refunds in the following circumstances:
- Satisfaction Guarantee: First-time subscribers may request a full refund within 30 days of their initial purchase if Zero doesn't work for their shop.
- Technical Issues: Extended service outages or technical problems that prevent use of the Software, where we are unable to provide a resolution.
- Billing Errors: Duplicate charges, incorrect amounts, or other administrative mistakes on our part.
- Legal Requirements: As required by applicable consumer protection laws.
To request a refund, contact support@sepzero.com with your account email and a description of the issue. Refund requests are reviewed on a case-by-case basis and approval is not guaranteed. All refunds will be processed to the original payment method.
7. Partner Referral Program
Zero offers a Partner Referral Program that allows individuals and businesses ("Partners") to earn commissions by referring new customers. By participating in the Partner Referral Program, you agree to these additional terms:
- Eligibility: Any individual or business may apply to become a Partner. Approval is at our sole discretion. We may refuse or revoke Partner status at any time without cause.
- Commission Rate: Partners currently earn 20% commission on qualifying payments from customers they refer. Commission rates are subject to change at any time with 30 days' notice to active Partners. Changes do not affect commissions already earned and pending transfer.
- Qualifying Payments: Commissions are calculated on the gross payment amount (before Stripe processing fees). We do not pay commissions on refunded or disputed charges, free trials, or promotional credits.
- Payment Schedule: Commissions are transferred to your connected Stripe Express account as payments are processed. Actual availability of funds depends on Stripe's payout schedule for your account.
- Program Changes: We reserve the right to modify, suspend, or discontinue the Partner Referral Program at any time. We will provide at least 30 days' notice before making material changes that would reduce commission rates or eliminate the program.
8. Partner Stripe Connect Account
To receive commission payouts, Partners must connect a Stripe Express account through our platform. By connecting your Stripe account, you acknowledge and agree to the following:
- Stripe Account: You will create and maintain a Stripe Express connected account. This account is governed by Stripe's Connected Account Agreement and Stripe's Services Agreement, available at stripe.com/legal.
- Financial Information: You authorize Simple Seps to receive information about your Stripe account status, including whether payouts are enabled and details necessary to process transfers to your account.
- Negative Balances: Your Stripe Express account is configured to allow negative balances. If your account balance becomes negative (for example, due to commission reversals from refunds), Stripe may debit your connected bank account to cover the shortfall. This is a requirement of our Partner Program.
- Tax Responsibility: You are solely responsible for all tax obligations related to commissions you receive. Zero does not withhold taxes and will issue tax forms (e.g., 1099-MISC) as required by law.
- Account Maintenance: You must keep your Stripe account in good standing. If your Stripe account is suspended or terminated, we cannot process commission payments until you resolve the issue with Stripe.
9. Partner Commission Reversals
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT DESCRIBES HOW AND WHEN COMMISSIONS MAY BE REVERSED (CLAWED BACK) FROM YOUR ACCOUNT.
- Refund-Based Reversals: If a customer you referred receives a refund (full or partial), the corresponding commission will be reversed from your Stripe Express account proportionally. For example, if you earned $20 commission on a $100 payment and the customer later receives a $50 refund, $10 will be reversed from your account.
- Chargeback Reversals: If a customer you referred initiates a chargeback or disputes a charge, and the dispute is resolved in the customer's favor, the full commission from that charge will be reversed.
- Reversal Process: Reversals are processed through Stripe. If your Stripe Express account has sufficient balance, the reversal will be deducted from that balance. If your balance is insufficient, Stripe will debit your connected bank account to cover the reversal.
- Bank Debit Authorization: BY PARTICIPATING IN THE PARTNER PROGRAM, YOU AUTHORIZE STRIPE TO DEBIT YOUR CONNECTED BANK ACCOUNT TO RECOVER REVERSED COMMISSIONS. This is enabled through the "debit_negative_balances" setting on your Stripe Express account and cannot be disabled while participating in our Partner Program.
- Timing: Reversals may occur at any time, including months after the original commission was paid, depending on when the customer requests a refund or initiates a dispute.
- No Advance Warning: Reversals are processed automatically when triggered by refund or chargeback events. You will not receive advance notice before a reversal is processed, though Stripe will notify you of activity on your Express account.
We recommend maintaining a reasonable balance in your Stripe Express account to cover potential reversals, especially in the 90 days following commission payouts.
10. Indemnification
You agree to indemnify, defend, and hold harmless Zero and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms;
- Your use of the Software, including but not limited to the artwork or designs you process through the Software;
- Your violation of any third-party right, including without limitation any copyright, trademark, trade secret, or privacy right;
- For Partners: Your referral activities, representations made to potential customers, or any claims made by customers you referred.
11. Termination
You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation, your access will continue until the end of your current billing period. We reserve the right to suspend or terminate your access immediately if you violate these Terms, without refund or liability.
12. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZERO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
FOR PARTNERS: IN NO EVENT SHALL ZERO BE LIABLE FOR ANY LOSS OF COMMISSION REVENUE, BANK FEES OR OVERDRAFT CHARGES RESULTING FROM COMMISSION REVERSALS, OR ANY DAMAGES ARISING FROM CHANGES TO THE PARTNER REFERRAL PROGRAM. YOUR PARTICIPATION IN THE PARTNER PROGRAM IS AT YOUR OWN RISK.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
